The following General Terms and Conditions (GTC) govern the contractual relationship between purchasers of services and Dr. Uwe Cramer as operator of the homepage http://orgware-online.de and the e-shop integrated into it. They apply to all contracts that third parties conclude via this homepage.

Deviating conditions which are not expressly recognised by the operator are not binding for him, even if he does not expressly object to them.

Services

Dr.Cramer/Orgware online provides organisational consulting services for companies, public authorities and non-profit organisations (hereinafter collectively referred to as "companies") for selected topics exclusively via the homepages orgware-online.de and orgware-online.net, which are identical in content, in German and, upon customer request, also in English.

The offers of the homepage include organizational processes, templates, management guidelines as well as e-books, which are preferably delivered as digital documents under the term "Methodical Work Tools for Organizational Design" (MH).

For this purpose, workshops can be agreed separately, independent of the ordering process of the "Methodical Work Aids", for instruction in related "Methodical Work Aids of Organizational Design" (MH) as well as for the support of corresponding implementation projects of the client. 

Origin of the contractual relationship

A contractual relationship is created for the "Methodical Work Aids for Organizational Design" and e-books by

• Sending a binding order from the E-Shop. It is created at the moment when the "Buy" button is clicked by the customer to complete the order process.
• orders placed by letter or fax. In these cases, the conclusion of a contractual relationship is documented by delivery of the order and dispatch of the invoice. The e-mail "order confirmation" usually sent by the operator after completion of the ordering process is not a prerequisite for the conclusion of the contract in this ordering process.
• In the case of services for workshops and project support to be invoiced on a time and material basis, by means of a signed confirmation of the binding offer from Dr.Cramer/Orgware online by the customer and return of the goods.

Right of revocation of the orderer

Every order of "Methodical Work Aids for Organizational Design" and of e-books can be revoked by the orderer until the ordered document(s) has/have not yet been dispatched. Revocations received after this time are invalid. A return/retraction or conversion after expiration of the revocation period is impossible.

The revocation is to be sent to the operator by e-mail, stating the order data (customer, type and date of order). 

Prices, delivery terms and payments

The prices are mentioned on the homepage at the appropriate places and are repeated on the order and all order-related mails and documents.

Orders to Dr.Cramer/Orgware online are carried out by sending the ordered "Methodical Work Aid(s) of Organizational Design" on workdays by e-mail within 24 hours or on a data carrier (CD) or as a printout within 5 days, if this is expressly requested in the order, to the address or separate delivery address in German or English given by the customer in the order. If the payment method prepayment is chosen, delivery will be carried out after receipt of payment.

Download articles are available for a one-time download for 14 days. A download is only possible for registered customers.

If costs for shipping and invoicing are incurred, they are to be borne by the customer and are listed in the order confirmation and the invoice. This also includes the connection costs while using the website.

Invoices for the "Methodical Work Aids for Organizational Design" and e-books ordered online from Dr.Cramer/Orgware are to be paid after invoicing in accordance with the term of payment stated therein, otherwise in advance. Payment obligation arises with the payment method "prepayment" with receipt of the order confirmation, with the payment method "invoice" with delivery of the same. The operator reserves the right to make restrictions in the selection of payment methods in individual cases.

Invoices for the "Methodical Work Aids for Organizational Design" and e-books ordered online from Dr.Cramer/Orgware are to be paid after the invoice has been issued in accordance with the term of payment stated there, otherwise they are to be paid in advance. Payment obligation arises with the payment method "prepayment" with receipt of the order confirmation, with the payment method "invoice" with delivery of the same. The operator reserves the right to restrict the selection of payment methods in individual cases.

For the services agreed upon after expense accounting, the respective service agreement will be applied.

Payments can only be made by bank transfer to the bank account specified in the order confirmation and the invoice.

Terms of use and exclusion of warranty

The methodical working aids were produced with the greatest care. No guarantee is given that they will meet the requirements of the buyer. This also applies to the results of further consultation (answering questions, workshops, introductory projects).

Despite careful control of the contents, Dr.Cramer/Orgware online does not assume any liability for the contents of external links. The operators of the linked sites are solely responsible for the content of their sites. 

The acquired methodological work aids (MH) may be used after acquisition

• for use in the company's own operations and, where appropriate, be amended and adjusted. The creation of the technical prerequisites necessary for use by means of suitable software is the sole responsibility of the user. In the e-shop, the detailed descriptions of the methodical working aids contain appropriate references without legal obligation of the operator.
• also in extracts only with written permission of Dr.Cramer/Orgware online to other companies and individuals or published. The use of documents delivered as e-mail attachments or on data carriers to offer identical or similar services to those of www.orgware-online.de is not permitted.

With the purchase of these documents, the purchaser undertakes to strictly respect the copyright.

Miscellaneous

The law of the Federal Republic of Germany shall apply, excluding the CISG (Convention on Contracts for the International Sale of Goods).

If the purchaser is a merchant within the meaning of the German Commercial Code, Halle/Saale shall be the place of jurisdiction for all disputes concerning contracts concluded using these General Terms and Conditions.

Should any provision of these General Terms and Conditions be invalid, the remaining provisions shall remain unaffected. The same applies to possible regulation gaps.
